Terms of Service

The terms for using Sellbird: accounts, outreach responsibilities, AI agents, billing, customer data, cancellation and your legal rights.

1. The agreement and who we are

These Terms of Service govern access to the Sellbird website and hosted outreach platform, including its dashboard, APIs, MCP tools and related services. Sellbird is a DBA of Voyage Studios LLC, a limited liability company ("Sellbird," "we," "us"). Our address is 7901 4th St N, Ste 300, St. Petersburg, FL 33702, United States. Contact us at [email protected].

By creating an account or using the hosted service, you agree to these Terms. If you act for a business or client, you represent that you have authority to bind that organisation; "you" includes that organisation. You must be at least 18 and legally able to enter this agreement. If you do not agree, do not use the service.

A separately signed agreement controls where it expressly conflicts with these Terms. Open-source software is governed by its accompanying licence; these Terms do not replace that licence or promise hosted services to self-hosted users.

2. Accounts, teams and client workspaces

Provide accurate account and billing information, protect your sign-in methods and notify us promptly of suspected unauthorised access. You are responsible for activity by your authorised team members and connected agents, and for assigning suitable access. Do not share an account to evade plan limits.

If you manage outreach for clients, obtain authority to use their data, domains, accounts and branding. You are responsible for agreements and notices to your clients and their recipients. Workspace separation does not remove your responsibility to select the correct client or control access.

3. The service and your connected agent

Sellbird provides tools for contacts, campaigns, drafts, sending infrastructure and conversations. Your selected AI agent and its provider perform research and generate content. Their subscriptions, terms, availability and data practices are separate from ours.

You authorise Sellbird to process your workspace data and perform the operations you or your authorised users request, including scheduling approved mail, collecting replies and operating configured integrations. This authority is limited to providing, securing and supporting your service.

Campaign drafts require review by default. A workspace owner may explicitly enable autopilot so campaign emails can send without individual approval within configured limits. Reply drafts still require approval. You are responsible for reviewing AI output, facts, recipient selection and settings. Approval controls do not make an unlawful message lawful or guarantee accuracy.

Disconnecting an agent does not necessarily cancel queued emails or remove copies already held by your AI provider. Pause sending separately to stop scheduled outreach. Domain purchases and other bill-increasing changes require your authorisation.

4. Acceptable use and outreach responsibilities

Use Sellbird only for lawful, authorised outreach. You must have a valid basis to collect, import and use contact information and to send each message. Public availability of an address does not by itself establish consent or another legal basis. Comply with applicable privacy, direct-marketing and electronic-communications laws, including CAN-SPAM and, where applicable, GDPR, ePrivacy rules, PECR and CASL.

Use accurate sender identities and subjects, disclose advertising where required, include a valid postal address and a clear opt-out, and honour recipient objections. Do not reimport suppressed recipients to bypass their preferences. Obtain consent wherever required; do not assume business-to-business messages are exempt.

Do not send phishing, fraud, malware, threats, harassment, unlawful discrimination, deceptive offers or material that infringes rights. Do not use unlawfully obtained or scraped data, impersonate another person, misrepresent business relationships, or target children.

Do not bypass approvals, authentication, rate limits, suppression rules, abuse protections or provider restrictions. Do not use the service to test stolen credentials, probe other accounts, disrupt infrastructure, resell unauthorised access or conceal abusive sending. Report security issues privately to [email protected].

Email checks, warmup, daily limits and unsubscribe tools support responsible sending; they are not legal advice, certification or a guarantee of compliance. You remain responsible for your messages and the actions of people or agents acting on your behalf.

5. Subscriptions, trials and additional costs

The plan, billing interval, included usage and price presented at checkout form part of your order. Paid subscriptions renew at the stated interval unless cancelled before renewal. You authorise the payment method you provide to be charged for agreed subscription fees, authorised add-ons and applicable taxes.

A trial lasts for the period shown when you enrol. We will disclose any charge and renewal terms before you authorise a paid subscription. A trial without payment authorisation does not authorise us to charge you. A free plan has usage limits and is not a commitment to provide unlimited service.

Prices described as a monthly equivalent billed yearly are charged for the annual period shown at checkout. Domain registrations, mailbox-provider seats, AI-provider subscriptions and other third-party charges may be separate. Review the total before approving paid setup changes. Plan sending ceilings do not guarantee that your inboxes can safely send that volume.

You may cancel renewal through billing settings or by contacting [email protected]. Cancellation takes effect at the end of the paid period unless we agree otherwise. Fees already paid are generally non-refundable except where required by law, expressly stated in your order, or where we discontinue the paid service without providing the remainder of the term. Statutory refund and cancellation rights are not limited.

We may suspend paid features for overdue undisputed fees after notice and an opportunity to resolve the issue. Price changes apply no earlier than a future renewal, with advance notice so you can cancel before the new price takes effect.

6. Your data, ownership and confidentiality

You retain ownership of your contacts, research, messages, campaign content and other workspace data. You grant us only the rights needed to host, transmit, process, secure and support that data as instructed through the service. You represent that you have the necessary rights and permissions to provide it.

We do not sell customer data, use it for advertising, train AI models on it, or use one customer’s workspace content for another customer. Workspace data is not public. Access is limited to authorised account users, integrations you choose and service providers or personnel with a legitimate need to provide, secure or support the service, or where disclosure is legally required.

Each party will protect the other’s non-public information with reasonable care and use it only for this agreement. This does not cover information independently developed, lawfully received without restriction, already known without a duty of confidence, or public through no breach. Required legal disclosures remain subject to applicable law and notice where permitted.

Our Privacy Policy explains data handling. When you determine the purpose of outreach involving other people’s data, you are responsible for the corresponding notices, legal basis and rights requests. Where a data-processing agreement or international-transfer terms are legally required, arrange them with us before that processing begins.

7. Third-party services

Google, Microsoft, GitHub, your AI provider, payment processors, registrars and other integrations operate under their own terms. Connecting them authorises the access and transfers needed for the features you enable. Sign-in access is separate from permission to read or send email.

We do not control third-party outages, account restrictions, recipient filters, model outputs or changes to provider APIs. Your provider may impose its own sending limits and charges. You are responsible for maintaining accounts and permissions required for your workflow.

8. Our intellectual property

We and our licensors own the hosted service, website, branding and related intellectual property, excluding your data and components covered by separate licences. We grant you a limited, non-exclusive right to use the service during your subscription in accordance with these Terms.

Do not copy, sell or reverse engineer proprietary portions except where applicable law permits it. Open-source licence rights remain intact. You may voluntarily give feedback; we may use that feedback to improve the service without compensation, but this does not grant rights to your confidential workspace content or permit its use for model training.

9. Suspension, termination and deletion

You may stop using Sellbird and request account closure at any time. Subscription cancellation and account deletion are separate: cancelling a plan does not by itself request deletion of all account data.

We may restrict or suspend access where reasonably needed to address abuse, a security threat, legal requirements, non-payment or a material breach. We will give notice and an opportunity to resolve the problem where practical; immediate action may be necessary to protect recipients or the service. Contact support if you believe a restriction is mistaken.

On termination, access and the right to use the hosted service end. Export information you need before requesting deletion. We handle deletion under the Privacy Policy, including limited retention for legal, security, billing and opt-out obligations. Copies already sent to recipients or independent third parties are outside our control.

Provisions that by their nature should survive termination, including accrued payment obligations, ownership, confidentiality, liability limits and dispute terms, continue to apply.

10. Availability and warranties

We use reasonable care in providing the service, but do not promise uninterrupted availability, error-free output, a particular inbox placement, response rate, reputation score, lead quality or sales result. Illustrations and sample data are demonstrations, not customer results.

To the maximum extent permitted by law, the service is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose or non-infringement. Nothing here excludes a warranty or consumer protection that cannot lawfully be excluded.

11. Limits of liability

To the maximum extent permitted by law, neither party is liable under this agreement for indirect, incidental, special, consequential or punitive losses, or lost profits, revenue or business opportunities. Each party’s total liability arising from the service is limited to the greater of US $100 or the fees you paid or owed Sellbird for the affected service during the twelve months before the event giving rise to the claim.

These limits do not restrict your payment obligations, either party’s fraud or wilful misconduct, or liability that applicable law does not allow to be limited. They do not excuse either party from obligations imposed by privacy or consumer-protection law.

12. Claims arising from your outreach

To the extent permitted by law, you will defend and indemnify Voyage Studios LLC against third-party claims and reasonable costs arising from your unlawful outreach, infringement by content you provide, or material violation of these Terms. This does not cover claims caused by our own breach, negligence or misconduct.

We will promptly notify you of a covered claim, cooperate reasonably at your expense and allow you to control the defence with appropriate counsel. You may not settle a claim in a way that admits fault by us, imposes obligations on us or fails to release us without our written consent.

13. Governing law and disputes

Florida law governs these Terms, without regard to conflict-of-law rules, except where mandatory law requires otherwise. Subject to non-waivable rights and lawful jurisdiction, disputes will be brought in the state or federal courts serving Pinellas County, Florida, and each party consents to those courts.

Before filing a claim, please contact [email protected] so we can try to resolve it. This request does not prevent urgent relief or reduce a statutory deadline. These Terms do not impose mandatory arbitration or waive non-waivable consumer rights.

14. Changes and general provisions

We may update these Terms and will post the revision date. For material changes, we will provide reasonable advance notice by email or in the service when practical; changes required by law or urgent security circumstances may take effect sooner. Continued use after the effective date constitutes acceptance where legally permitted. You may stop using the service if you disagree.

These Terms and your order are the agreement for the service. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent, except as permitted by law. We may transfer it in a merger, reorganisation or sale of the relevant business, with the successor taking on our obligations. Neither party is responsible for delays beyond reasonable control, except payment obligations.
